70th Meeting

On 1 June 2026, the Board of the Croatian Financial Services Supervisory Agency held its 70th meeting and adopted the following decisions of public interest:

1. Ordinance on the content and manner of keeping the register of AIFMs and AIFs
2. Ordinance amending the Ordinance on the issuance of authorisation to AIFMs
3. Ordinance amending the Ordinance on the issuance of authorisation to establish and manage AIFs
4. Ordinance amending the Ordinance on AIFMs’ own funds
5. Ordinance amending the Ordinance on AIF units
6. Ordinance amending the Ordinance on carrying out tasks of the AIF depositary
7. Ordinance amending the Ordinance on the structure and contents of annual and semi-annual financial statements and other reports of UCITS
8. Decision on the adoption of the updated Public Consultation Plan of the Croatian Financial Services Supervisory Agency for 2026
9. Decision granting approval to the company SLATINSKA BANKA d.d., Slatina, OIB: 42252496579, for a prospectus relating to the admission to trading of subordinated bonds on a regulated market, in a total nominal amount reaching EUR 4,000,000.00, with a denomination of EUR 100,000.00 and a fixed annual interest rate, with semi-annual interest payments and a one-time principal maturity 5 (five) years after the date of their issue
10. Decision determining that Oraclum Capital LLC, 3 E Evergreen Road, Suite 101 PMB 799, New City, New York 10956, United States of America, acting as investment manager and general partner of the hedge fund ORCA BASON Fund, having its registered office and address as stated for the company, has complied with the supervisory measures imposed to eliminate the irregularities identified in the supervision procedure and with the orders set out in points 1, 3 and 4 of the operative part of the Hanfa Decision of 9 December 2025, and determining that the off-site inspection of Oraclum Capital LLC, 3 E Evergreen Road, Suite 101 PMB 799, New City, New York 10956, United States of America, acting as investment manager and general partner of the hedge fund ORCA BASON Fund, having its registered office and address as stated for the company, as well as of the said fund registered with Hanfa under CLASS: UP/I 992-05/25-01/03, has been concluded. The prohibitions set out in points 1 and 2 of the operative part of the Hanfa Decision, CLASS: UP/I 992-05/25-01/03, REGNO.: 326-01-40-42-25-33, of 9 December 2025, ordering the cessation and prohibiting any further trading in units of the hedge fund ORCA BASON Fund (including distribution and marketing activities) within the territory of the Republic of Croatia, as well as prohibiting the submission of the notification referred to in Article 139b(1) of the Alternative Investment Funds Act (Official Gazette, No 21/18, 126/19, 110/21, 83/23 and 152/24) regarding the intention to distribute units of that fund, shall apply permanently in relation to retail and qualified investors, while in relation to professional investors they shall apply until the prescribed conditions under Articles 139a to 139c of the Alternative Investment Funds Act are fulfilled, which cannot occur prior to the expiry of the time limit referred to in point 2 of the operative part of the Hanfa Decision, CLASS: UP/I 992-05/25-01/03, REGNO.: 326-01-40-42-25-33, of 9 December 2025, i.e. not before 10 December 2026.
11. Decision granting authorisation to the company DIGITAL ASSETS d.o.o. za posredovanje i usluge from Split, OIB: 37096783668, to operate as crypto-asset service provider, namely to exchange crypto-assets for funds, to exchange crypto-assets for other crypto-assets, to provide custody and administration of crypto-assets on behalf of clients, to place crypto-assets and to provide transfer services for crypto-assets on behalf of clients. The Company is authorised to hold clients’ crypto-assets and funds. Approval is granted to Tomislav Vajić from Split, to perform the function of a member of the Management Board of the company DIGITAL ASSETS d.o.o. za posredovanje i usluge from Split, OIB: 37096783668, for a term of office lasting 3 (three) years. The Company is obliged to register the business activities referred to in point 1 the operative part of this Decision with the register of the competent Commercial Court within 30 days and to immediately notify Hanfa thereof.
12. Decision granting authorisation to Hrvoje Radoš from Zagreb to perform the function of a member of the Management Board of the leasing company Ayvens Croatia d.o.o., with its registered office in Veiko Polje (the City of Zagreb), OIB: 45116797997, for a term of office lasting 5 (five) years
13. Decision granting approval to Nicolaus Bauer, citizen of Austria residing in Austria, to perform the function of a member of the Management Board of Erste Asset Management društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, with its registered office in Zagreb, OIB: 68572873963, LEI: 529900OY10YUOZTM4Z35, for a term of office lasting from the day of receipt of this Decision to 30 November 2028
14. Decision granting authorisation to conduct insurance distribution business to the pre-company PILJEK I TOČKA d.o.o. za zastupanje u osiguranju, with its registered office in Zabok
15. Decision granting authorisation to conduct insurance distribution business to Jadranko Majstorović from Čepin, founder of the insurance representation craft SAFEWAY, obrt za zastupanje u osiguranju, vl. Jadranko Majstorović, Čepin, Augusta Šenoe 56
16. Decision granting authorisation to conduct insurance distribution business to Danijela Vodopija from Turčin, founder of the insurance representation craft VO DA, obrt za zastupanje u osiguranju, Danijela Vodopija, Turčin, Lug 9
17. Decision determining that the authorisation to conduct insurance distribution business issued on 21 December 2006 to the insurance agency LIBERTAS ZASTUPANJE d.o.o. za zastupanje u osiguranju, with its registered office in Zagreb, Trg Johna Fitzgeralda Kennedyja 6B, OIB: 25096614306, represented by Dubravka Ostojić, Managing Director of the Company, by virtue of Hanfa’s Decision CLASS: UP/I-453-06/06-03/93, REGNO: 326-112-06-4, ceased to be valid on 13 May 2026
18. Decision determining that the authorisation to conduct insurance distribution business issued on 13 January 2023 to Edvina Lukšija Fabić from Zagreb, owner of the insurance representation craft Matrica, obrt za zastupanje u osiguranju vl. Edvina Lukšija Fabić, Zagreb, Pijavišće 13, by virtue of Hanfa’s Decision CLASS: UP/I 994-03/22-01/91, REGNO: 326-01-22-23-9, ceased to be valid on 25 November 2025
19. Decision determining that the authorisation to conduct insurance distribution business issued to Željka Pogelšek from Otruševec, Samobor, owner of the insurance representation craft VIGO, OBRT ZA ZASTUPANJE U OSIGURANJU, VL. ŽELJKA POGELŠEK, ZAGREB, SLOVENSKA ULICA 24, on 2 November 2021 by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/21-01/96, REGNO: 326-01-22-21-2, ceased to be valid on 5 May 2026
20. Decision removing Nada Pernar from Kozinščak, Dugo Selo, ZO 10414, from the Register of authorised insurance agents, insurance and/or reinsurance brokers and ancillary insurance intermediaries, as of the date of adoption of this Decision
