59th Meeting

On 5 February 2026, the Board of the Croatian Financial Services Supervisory Agency held its 59th meeting and adopted the following decisions of public interest:

1. Instruction for completing supervisory reports for legal persons authorised to provide investment and ancillary services and perform investment activities, market intermediaries, and branches of investment firms from another Member State or third country Forms OP, PR, US, UP, NS, VP and PD 
2. Decision granting approval to the company PROSPERUS GROWTH SEDAM d.o.o., Zagreb, Ulica grada Vukovara 23, OIB: 47963610871, to publish a takeover bid relating to the acquisition of the company MEDORA HOTELI I LJETOVALIŠTA d.d., Podgora, Mrkušića dvori 2, OIB: 90637704245, LEI: 3157002LOV8L7ILA0941
3. Decision issuing a warning to the alternative investment fund management company InterCapital Real Estate d.o.o., Zagreb, OIB: 33825906432, LEI: 747800R0AE1Q2BQCT479, due to illegalities established in the Off-Site Inspection Report CLASS: UP/I 992-05/25-01/06, REGNO: 326-01-40-42-26-5, because at the reporting date 30 June 2025 it did not comply with the minimum regulatory capital requirements prescribed by Article 26(4) of the Alternative Investment Funds Act (Official Gazette, No 21/18, 126/19, 110/21, 83/23 and 152/24), which was rectified by the payment of additional funds on 21 August 2025; determining that the illegalities established in the Off-Site Inspection Report have been eliminated and the off-site inspection has finished 
4. Decision issuing a warning to the company InterCapital ETF društvo s ograničenom odgovornošću za upravljanje otvorenim investicijskim fondovima s javnom ponudom, Zagreb, OIB: 62466578523, LEI: 747800U0JD9V54XEHV81, due to illegalities established in the Off-Site Inspection Report CLASS: UP/I 992-05/25-01/05, REGNO: 326-01-40-42-26-5, because at the reporting date 30 June 2025 it did not comply with the minimum regulatory capital requirements prescribed by Article 21 of the Alternative Investment Funds Act (Official Gazette, No 44/16, 126/19, 110/21, 76/22 and 152/24), which was rectified by the payment of additional funds on 7 July 2025; and because it failed to notify Hanfa of shareholders’ additional contributions to the company’s regulatory capital made on 7 July 2025 and 26 August 2025, within the time limit prescribed by Article 11(2) and (4) of the Ordinance on regulatory capital of UCITS management companies (Official Gazette, No 132/22). It is established that the illegalities identified in the Off-Site Inspection Report CLASS: UP/I 992-05/25-01/05, REGNO: 326-01-40-42-26-5 have been eliminated and the off-site inspection has finished.
5. Decision granting authorisation to the company Inspire Investments d.o.o. za upravljanje alternativnim investicijskim fondovima, Zagreb, OIB: 62573520714, LEI: 74780040M93Z1M3Y3D74, to establish and manage an open-ended alternative investment fund without legal personality with private offering – hedge fund, under the name of Inspire THETA otvoreni alternativni investicijski fond s privatnom ponudom
6. Decision correcting a mistake made in the explanation of Hanfa’s Decision CLASS: UP/I 972-02/20-01/18, REGNO: 326-01-40-42-20-9, of 10 June 2020, namely by removing the word “otvorenom” form the third sentence of the explanation
7. Decision granting authorisation to Paul Swoboda, resident in Graz, Austria, to perform the function of a member of the Supervisory Board of the company GRAWE Hrvatska d.d., Zagreb, OIB: 28406115764, LEI: 5299008LQUWEOTO76V71, for a term lasting from 20 March 2026 to 19 March 2030
8. Decision granting authorisation to Klaus Scheitegel, resident in Graz, Paulinerweg 23, Austria, to perform the function of a member of the Supervisory Board of the company GRAWE Hrvatska d.d., Zagreb, OIB: 28406115764, LEI: 5299008LQUWEOTO76V71, for a term lasting from 20 March 2026 to 19 March 2030
9. Decision granting authorisation to Péter Kádar from Hungary, to perform the function of a member of the Supervisory Board of the company Groupama osiguranje d.d., Zagreb, OIB: 98164456048, LEI: 74780000V0JHQ18WXI81, for a term lasting 4 (four) years, starting as of the day of receipt of this Decision

15. Decision granting authorisation to conduct insurance distribution business to Vinka Mazalin from Zagreb, founder of the insurance representation craft MazVin, obrt za zastupanje u osiguranju, Vinka Mazalin, Zagreb, Božidara Magovca 48
16. Decision determining that the authorisation to conduct insurance distribution business issued on 30 November 2018 to Zlatko Selar from Umag, founder of the insurance representation craft ACTA, obrt za zastupanje u osiguranju, vl. Zlatko Selar, Umag, Novigradska ulica 26 A, by virtue of Hanfa’s Decision CLASS: UP/I 974-03/18-01/106, REGNO: 326-01-22-18-3, ceased to be valid on 30 December 2025
