49th Meeting

On 9 October 2025, the Board of the Croatian Financial Services Supervisory Agency held its 49th meeting and adopted the following decisions of public interest:

1. Ordinance on mystery shopping activities targeting crypto-asset service providers
2. Ordinance on filing complaints against issuers or persons seeking admission to trading of crypto-assets other than asset-referenced tokens and e-money tokens, as well as against crypto-asset service providers, and on complaints-handling procedures of the Croatian Financial Services Supervisory Agency
3. Ordinance on the submission of key information documents for PRIIPs to the Croatian Financial Services Supervisory Agency
4. Guidelines for issuers carrying out buy-back programmes of own shares
5. Decision determining that the investment firm CREDOS d.o.o., Zagreb, OIB: 21667415955, LEI: 747800T0X8ZIAATZDH42, kept the additional incentives received as part of the provision of portfolio management services instead of paying them to clients in the period from 28 January 2019 to 19 March 2025 and ordering the firm to inform its portfolio clients thereof. The firm is also required to revise its internal act on additional incentives.
6. Decision issuing a warning to the company CIAK Grupa d.d., Zagreb, OIB: 28466564680, LEI: 74780010K3F620YZZ529 due to: its failure to submit to Hanfa and to the officially appointed mechanism its quarterly financial statements containing the required content for the first, second, third and fourth quarters of 2024 and the first quarter of 2025; failure to submit the annual financial report for 2024 and the quarterly financial statements for the first, second, third and fourth quarters of 2024 and the first quarter of 2025 in the required form (XML format), and failure to submit the regulated information for the period from 1 January 2024 to 31 May 2025 in all their required content to Hanfa and to the officially appointed mechanism at the same time as they were submitted to the regulated market in the Republic of Croatia to which its securities are admitted
7. Decision determining that the company i4next leasing Croatia d.o.o., Zagreb, OIB: 05273526923 has eliminated the illegalities and irregularities whose elimination was ordered by Hanfa’s Decision of 9 September 2025, by drafting the action plan and defining deadlines for aligning exposures to a single person and groups of related persons with the limits laid down by the Ordinance on criteria for and manner of leasing companies’ risk management (Official Gazette, No 86/18 and 150/22); and terminating the off-site inspection of the company (CLASS: UP/I 993-06/25-01/02)
8. Decision granting authorisation to Zvjezdan Karlić from Zagreb to perform the function of a member of the Management Board of the company GENERALI OSIGURANJE d.d., Zagreb, OIB: 10840749604, LEI: 529900SSQ9XD4D9UVJ94, for a term of office lasting 1 (one) year, running as of 12 October 2025
9. Decision granting authorisation to Vice Češljar from Zagreb to perform the function of a member of the Management Board of the company GENERALI OSIGURANJE d.d., Zagreb, OIB: 10840749604, LEI: 529900SSQ9XD4D9UVJ94, for a term of office lasting 4 (four) years, running as of 12 October 2025
