32nd Meeting

On 4 February 2025, the Board of the Croatian Financial Services Supervisory Agency held its 32nd meeting and adopted the following decisions of public interest:

1. Instruction for the preparation and submission of pension insurance companies’ reports in electronic form
2. Decision on the exemption from payment of part of the fee relating to client funds related to ancillary services contracts - transaction accounts
3. Decision granting authorisation to the company ZB Invest d.o.o. za upravljanje UCITS fondovima, with its registered office in Zagreb, OIB: 23889363045, LEI: 549300T0RFRCQ7Z21884, to establish and manage ZB Invest Funds – ZB bond 2027 EUR V, open-ended investment sub-fund with public offering, and to include this sub-fund into ZB Invest Funds, the umbrella UCITS, which includes the approval of the prospectus and rules of the sub-fund, as well as the approval for the selection of the depositary for the sub-fund – the company ZAGREBAČKA BANKA DIONIČKO DRUŠTVO, with its registered office in Zagreb, OIB: 92963223473, LEI: PRNXTNXHBI0TSY1V8P17; and granting authorisation to invest up to 100% of net assets of ZB Invest Funds – ZB bond 2027 EUR V, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by Romania
4. Decision granting authorisation to Marija Majdak from Velika Gorica to perform the function of a member of the Supervisory Board of the pension company ERSTE društvo s ograničenom odgovornošću za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, OIB: 49659289650, LEI: 529900JNYHUFUO8D4Z14, for a term of office lasting four (4) years, running as of the day of the receipt of this decision
7. Decision granting authorisation to Gordan Radin from Zagreb to perform the function of a member of the Supervisory Board of the mandatory pension company PBZ CROATIA OSIGURANJE dioničko društvo za upravljanje obveznim mirovinskim fondovima, with its registered office in Zagreb, OIB: 20455535575, LEI: 549300JEBNBXEY27HE27, for a term of office lasting four (4) years, running as of the day of the receipt of this decision
8. Decision granting authorisation to Maja Mandić from Zagreb to perform the function of a member of the Supervisory Board of the mandatory pension company PBZ CROATIA OSIGURANJE dioničko društvo za upravljanje obveznim mirovinskim fondovima, with its registered office in Zagreb, OIB: 20455535575, LEI: 549300JEBNBXEY27HE27, for a term of office lasting four (4) years, running as of the day of the receipt of this decision
9. Decision granting authorisation to Iva Marijan from Zagreb to perform the function of a member of the Supervisory Board of the mandatory pension company PBZ CROATIA OSIGURANJE dioničko društvo za upravljanje obveznim mirovinskim fondovima, with its registered office in Zagreb, OIB: 20455535575, LEI: 549300JEBNBXEY27HE27, for a term of office lasting four (4) years, running as of the day of the receipt of this decision
10. Decision granting authorisation to Goran Ivan Šaravanja from Zagreb to perform the function of a member of the Supervisory Board of the pension company Raiffeisen društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima d.d., Zagreb, OIB: 14148900600, LEI: 549300KUWF0GTBWT9S32, for a term of office lasting four (4) years, running as of the day of the receipt of this decision
11. Decision granting approval to the company Ferdinand Alexander Porsche Zweite GmbH, with its registered office at Perlacher Straβe 5a, 82031 Grünwald, Germany, entered in the commercial register of the Munich Municipal Court under registration number HRB 28799, to indirectly acquire a qualifying holding in the leasing company PORSCHE LEASING d.o.o., Ulica Velimira Škorpika 21, Zagreb, OIB: 90275854576, LEI: 52990TYTVH73IENMO14, reaching from 30% to 49.99% of voting rights of that leasing company; and to indirectly acquire a qualifying holding in the leasing company SCANIA CREDIT HRVATSKA d.o.o., with its registered office in Karlovačka cesta 96, Lučko (Zagreb), OIB: 47520271895, reaching from 20% to 29.99% of voting rights of that leasing company. The proposed acquisition referred to in points 1 and 2 of the operative part of this Decision has to be carried out within 6 (six) months as of the day of the enforcement of this Decision.
12. Decision granting authorisation to Kemal Sikirić from Sarajevo, Bosna and Herzegovina, to perform the function of a member of the Management Board of Invera Equity Partneri društvo s ograničenom odgovornošću za upravljanje alternativnim investicijskim fondovima, with its registered office in Zagreb, OIB: 90246865297, LEI: 747800D0L07JONXRI202, for a term of office lasting 5 (five) years, running as of 31 March 2025
13. Decision granting authorisation to conduct insurance distribution business to Tina Kilić from Split, founder of the insurance representation craft TK SIGURNOST, OBRT ZA ZASTUPANJE U OSIGURANJU, TINA KILIĆ, STOBREČ, SVETOG LOVRE 57 B
14. Decision granting authorisation to conduct insurance distribution business to Davorka Sabolić from Daruvar, founder of the insurance representation craft COD, obrt za zastupanje u osiguranju, vl. Davorka Sabolić, Daruvar, Stjepana Radića 17
15. Decision determining that the authorisation to conduct insurance distribution business issued to Davor Katić from Zadar, founder of the insurance representation craft AGENCIJA KASKO, ZASTUPANJE U OSIGURANJU, VL. DAVOR KATIĆ, ZADAR, POD BEDEMOM 2, on 14 December 2006 by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I-453-06/06-03/59, REGNO: 326-112-06-2, ceased to be valid on 30 December 2024
16. Decision determining that the authorisation to conduct insurance distribution business issued to Ljupka Lipošek from Zagreb, owner of the insurance representation craft BLUE, OBRT ZA ZA ZASTUPANJE U OSIGURANJU, VL. LJUPKA LIPOŠEK, ZAGREB, KAMENITI STOL 19, on 14 September 2022 by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I 994-03/22-01/62, REGNO: 326-01-22-22-2, ceased to be valid on 8 January 2025
17. Decision determining that the authorisation to conduct insurance distribution business issued to Vlasta Mustar from Zagreb, owner of the insurance representation craft "PREMIJA-M" AGENCIJA ZA ZASTUPANJE U OSIGURANJU, VL. VLASTA MUSTAR, ZAGREB, NOVA CESTA 4, on 15 February 2007 by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I-453-06/14-03/165, REGNO: 326-112-07-3, ceased to be valid on 25 July 2024
