2nd Meeting

On 23 January 2024, the Board of the Croatian Financial Services Supervisory Agency held its 2nd meeting and adopted the following decisions of public interest:

1. Decision on guaranteed returns of mandatory pension funds for 2023
2. Decision on the harmonisation of the guarantee deposit for the year 2024
3. Decision on the exemption from the payment of a portion of the fee related to clients’ funds connected with the ancillary services contract for 2024
4. Decision on compliance with the Guidelines on reporting under EMIR
5. Decision granting approval to the company AMINESS dioničko društvo za hotelijerstvo i turizam, Novigrad, Škverska ulica 8, OIB: 58935879058, LEI: 747800E0ZBQREM8ALY92, for a prospectus relating to the issuance of up to 8,407,079 registered dematerialised ordinary shares without a nominal value, for the amount of up to EUR 37,999,997.08
6. Decision granting authorisation to the company ZB Invest d.o.o. za upravljanje investicijskim fondovima, with its registered office in Zagreb, OIB: 23889363045, LEI: 549300T0RFRCQ7Z21884, for the establishment and management of ZB Invest Funds – ZB bond 2027 EUR IV, open-ended investment sub-fund with public offering, and to include this sub-fund into ZB Invest Funds, the umbrella UCITS fund, which includes the approval of the prospectus and rules of the sub-fund, as well as the approval for the selection of the depositary for the sub-fund – the company ZAGREBAČKA BANKA DIONIČKO DRUŠTVO, OIB: 92963223473, LEI: PRNXTNXHBI0TSY1V8P17; and granting approval to invest up to 100% of the net assets of ZB bond 2027 EUR IV, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by the French Republic, the Federal Republic of Germany or the Republic of Italy, and up to 50% of the net assets of this sub-fund in transferable securities and money market instruments issued or guaranteed by Romania or Hungary
7. Decision ordering the company IMPULS – LEASING d.o.o., Zagreb, OIB: 65918029671, LEI: 529900OBFV2VXSUUQT55, in order to eliminate the established illegalities and irregularities, to: review the portfolio of financial leasing contracts concluded with lessees with the status of consumers that were active during the supervised period with a view to detecting those contracts where leasing instalments were charged to lessees in excess of the allowed amount; submit a written statement on the activities undertaken towards lessees in respect of which it was established that their leasing instalments were calculated in excess of the allowed amount by failing to apply the agreed interest rates and exceeding the maximum interest rate set by the Consumer Credit Act
8. Decision ordering the company Mobil Leasing d.o.o., Zagreb, OIB: 17080997510, in order to eliminate the established illegalities and irregularities, to: adopt a new or amend the existing internal regulation that prescribes the process of harmonising variable interest rates with changes in the reference interest rate in financial lease contracts concluded with lessees with the consumer status in such a way that it complies with the provisions of the Consumer Credit Act with respect to harmonising variable interest rates, informing the lessees about changes in interest rates and applying the statutory maximum interest rate and apply it in practice from the date of adoption; review the portfolio of financial leasing contracts concluded with lessees with the status of consumers that were active during the supervised period with a view to detecting those contracts where leasing instalments were charged to lessees in excess of the allowed amount; submit a written statement on the activities undertaken towards lessees in respect of which it was established that their leasing instalments were calculated in excess of the allowed amount by failing to apply the agreed interest rates and exceeding the maximum interest rate set by the Consumer Credit Act.
9. Decision granting approval to Aleš Vahčič to perform the function of a member of the supervisory board of the company TRIGLAV OSIGURANJE d.d., Antuna Heinza 4, Zagreb, OIB: 29743547503, LEI: 74780000H0HHL1OVM657, for a term lasting 4 (four) years

Decision determining that the authorisation to conduct insurance and reinsurance distribution business issued by virtue of Hanfa's decision on 2 August 2013, to the company ZABA Partner d.o.o. za brokerske poslove u osiguranju i reosiguranju, Zagreb, Ulica Augusta Cesarca 2, OIB: 31958370023, ceased to be valid on 1 January 2024, due to voluntary cessation of insurance and reinsurance distribution activities

17.
